Purpose

These terms and conditions define the standard framework applicable to the B2B, institutional and professional services offered under the Zingatia brand.

Unless expressly agreed otherwise, services are legally supplied by MonarQue Group S.A.S. and commercially presented under the Zingatia brand.

Contract documents

Each engagement is governed by a commercial or contractual document such as a quote, proposal, purchase order, statement of work, mission letter or dedicated agreement.

If a conflict arises, the specific documents agreed by the parties for the engagement prevail over these general terms.

Order and start of work

An engagement is considered confirmed once a proposal, quote, contract or any equivalent written approval has been expressly accepted.

Project start may depend on receipt of the necessary information, an agreed deposit, technical access or other required approvals.

Pricing and payment

Pricing, billing milestones, deposits, currency and any additional costs are defined in the commercial or contractual documents for each engagement.

Late payment may lead to suspension of ongoing work, without prejudice to MonarQue Group S.A.S. s right to claim payment, fees and remedies permitted under the applicable framework.

Schedules and client cooperation

Delivery timelines are based on the information available at the time of scoping. They depend in particular on client availability, validation speed, content access and the stability of technical prerequisites.

The client agrees to provide accurate information, usable content, required approvals and a decision-making contact person within deadlines compatible with the project schedule.

Services and scope limits

Unless expressly stated otherwise, any request outside the initial scope may require reframing, a change request, a supplementary quote or revised planning.

Advisory, design and development services are performed under a professional best-efforts obligation unless an explicit result commitment is formally stated.

Intellectual property

Rights in final deliverables assigned to the client are transferred according to the contract or quote, generally after full payment of the relevant amounts.

Frameworks, methods, libraries, internal tools, know-how, unused exploratory concepts and pre-existing assets remain the property of MonarQue Group S.A.S., Zingatia or their respective rights holders unless otherwise agreed.

Confidentiality

Each party treats as confidential the strategic, technical, commercial and organizational information obtained during the engagement, unless disclosure is required by law or expressly authorized in writing.

Liability

MonarQue Group S.A.S. cannot be held responsible for consequences arising from incomplete client information, inaccurate or unlawful content supplied by the client, imposed third-party services or external disruptions beyond reasonable control.

Except in cases of gross negligence or mandatory contrary rules, any liability of MonarQue Group S.A.S. is limited to the amount actually received for the relevant engagement.

Force majeure and disputes

Neither party will be liable for delay or non-performance caused by force majeure or a comparable event under the applicable law.

In the event of a dispute, the parties undertake to seek an amicable resolution first. Failing that, the matter will be handled by the competent courts of Kolwezi, unless a more specific written contract states otherwise.
