Service provider: MonarQue Group S.A.S., operating under the Zingatia brand.

Purpose

These terms and conditions define the general framework applicable to digital communication, visual identity, graphic design, websites, digital platforms, automation, business applications, dashboards, applied artificial intelligence and strategic support services offered under the Zingatia brand.

Services are legally provided by MonarQue Group S.A.S. and commercially presented under the Zingatia brand.

Contract documents

Each engagement may be governed by a quote, commercial proposal, purchase order, contract or any other specific document accepted by the parties.

Whenever they contain specific provisions, those documents prevail over these terms and conditions for the relevant engagement.

Order and start of work

A service is considered confirmed once a proposal, quote, contract or equivalent written agreement has been expressly accepted.

Actual start of work may depend on the delivery of content, technical access, validations, a deposit or any other agreed prerequisite.

Pricing and payment

Pricing, billing arrangements, milestones, deposits, currencies and any related costs are specified in the commercial or contractual documents applicable to each engagement.

In the event of late payment, the service provider may suspend ongoing work until payment is regularized, subject to the rights and remedies provided by the applicable framework and the accepted contractual documents.

Timelines and client cooperation

Timelines are established based on the information available during scoping and depend in particular on client availability, validation speed, content access and the stability of technical prerequisites.

The client undertakes to provide accurate information, usable content and a contact person able to coordinate the required approvals.

Scope of services

Any request outside the original scope may require reframing, a change request, a supplementary quote or revised planning.

Unless expressly stated otherwise, services are performed under a professional best-efforts obligation.

Intellectual property

Rights in deliverables handed over to the client are transferred according to the terms defined in the applicable contractual documents, generally after full payment of the amounts due.

Methods, libraries, internal tools, know-how, unused concepts, pre-existing components and assets belonging to the service provider or third parties remain subject to their respective rights unless otherwise agreed in writing.

Confidentiality and liability

Each party treats as confidential any strategic, technical, commercial or organizational information received during the engagement, unless disclosure is required by law or expressly authorized in writing.

The website and commercial materials are informational in nature. The service provider cannot be held liable for inaccurate client content, imposed third-party services or external disruptions beyond reasonable control, within the limits allowed by the applicable framework.

Applicable law and disputes

These terms and conditions are governed by the law applicable in the Democratic Republic of the Congo.

In the event of a dispute, the parties will first seek an amicable resolution. Failing that, the matter will fall under the competent courts of Kolwezi, unless a specific agreement or contract states otherwise.
